1. Third-party providers and service availability
Circle Suite is not a telecommunications carrier. Business phone numbers, calling, SMS/MMS, number provisioning and porting, caller identity, call forwarding, call recording, voicemail, and AI Voice (where included and enabled) depend on third-party telecommunications providers, carriers, registration systems, and regulatory requirements.
Circle Suite does not guarantee message delivery, call completion, caller-ID display, protection from spam labeling, number availability, successful number porting, permanent ownership or control of a telephone number, or uninterrupted telecommunications service.
Businesses using applicable U.S. SMS/MMS services may be required to complete business and messaging registration before messaging can be fully enabled. Approval is subject to carrier and third-party requirements. Using Circle Suite to send a message or place a call does not itself establish permission to contact a person.
Canceling your Circle Suite subscription may affect phone numbers and communications services associated with your account. If you want to keep an eligible number, complete any required transfer or port-out process before the applicable number-release deadline. Porting a number is not a condition of canceling your subscription.
2. Software and lawful recipient contact
Circle Suite provides communication tools through communications and email providers. It does not supply permission to contact a person. Customers must identify the actual business sender, message purpose, contact source, recipient jurisdiction, and applicable consent before initiating communications. Purchased, rented, scraped, transferred, or uploaded lists do not automatically provide lawful consent.
Customers must obtain the applicable authorization for SMS/MMS, marketing, artificial/prerecorded voice, and other regulated calls; keep evidence; respect calling windows, frequency restrictions, DNC/DND, and reassigned-number risks; and follow applicable federal, state, and provider rules. An inquiry or existing business relationship does not automatically authorize every subsequent automated or marketing use. Circle Suite's software-provider role does not eliminate its own applicable duties.
3. Registration and carrier requirements
Customers must provide truthful current business, brand, campaign, and consent information for A2P or other registration. Approval, delivery, filtering outcomes, port eligibility, and precise completion dates are not guaranteed. Carriers or providers may restrict lawful content more narrowly than general law. Carrier registration is not a substitute for recipient consent.
Customers must not fabricate opt-in evidence, describe one use case while sending another, or disguise restricted products or senders. Circle Suite may restrict communications to respond to abuse, security issues, failed registration, binding provider requirements, or nonpayment under the Agreement.
4. Opt-outs and support
Messaging programs must support their actual disclosed STOP and HELP procedures. Customers must also recognize legally valid consent withdrawals received by other applicable means, including clear verbal requests where relevant. Do not tell a contact that STOP is the only way to withdraw consent if the law requires broader methods.
Suppress further restricted communications promptly and apply the legally required scope across the sender's relevant workflows, agents, numbers, and programs. Only a legally permitted confirmation or clarification may follow an opt-out; it must not contain promotional content. Fresh consent must be independently valid and recorded before lawful re-enrollment. Restoring a backup, importing a list, or restarting an automation must not undo suppression.
Stopping messages does not cancel a subscription. Stopping one business's communications does not automatically apply to every independent business using Circle Suite; sender identity and the scope of the request matter.
Customers must not sell or share mobile opt-in data or consent with third parties for their own marketing or promotional purposes. Necessary processing by authorized telecommunications providers, messaging aggregators, and service providers supporting the messaging service is permitted, subject to appropriate safeguards. Text messages sent directly by Circle Suite LLC are governed by the SMS sections of our Terms of Service and Privacy Policy, not by this section.
5. Outbound AI and prerecorded voice
Enabling Circle AI Voice is not permission to call. Artificial or prerecorded-voice calls require a separate legal analysis of recipient, purpose, technology, consent, and exemptions. Customers must not launch such campaigns without applicable consent evidence and effective opt-out controls. Do not disguise AI as a particular human or clone a person's voice without appropriate rights and consent.
6. Recording, transcription, and analysis
Customers must provide required notices and obtain applicable consent before recording or subjecting a call to transcription or AI analysis. A general Privacy Policy link or account acceptance does not by itself establish a call participant's consent. Disclosures must describe the actual processing, and the system must respect a refusal. If the feature cannot support a required consent flow or a lawful alternative, disable it for that use.
7. Email
Customers must use truthful sender information and lawful marketing claims and provide applicable identification, postal-address, and unsubscribe disclosures in commercial email. They must process unsubscribe requests and prevent renewed sending through other campaigns or accounts. Circle Suite's own commercial email requires its own qualifying address and controls; a customer's address does not silently become Circle Suite's address.
8. Numbers, ports, and exit
Numbers are made available subject to availability, applicable fees, regulatory and carrier requirements, and technical restrictions. This is not a guarantee of perpetual number ownership or portability.
For port-in, Customers must provide accurate account details, authorization, and supporting documents and should keep the old carrier active until the port is confirmed complete. For eligible port-out, Circle Suite will reasonably cooperate after appropriate identity and authority verification and carrier procedures. Billing disputes must not be used as an unlawful barrier to a legitimate port.
Number release and A2P cancellation can occur on a different and shorter schedule than CRM-data retention. The account's verified exit notice supplies the applicable timeline and any authorized continuing resource charges. Arrange ports before ending communications service; do not rely on a general data-retention period to preserve a number. Service interruption or permanent number loss may occur if resources are released. The Services are not an emergency calling or 911 substitute.
